2. Applicability & Legal Nature

These Terms constitute a legally binding agreement under the Indian Contract Act, 1872 between Scrolt Enterprise Private Limited and the business entity accessing or transacting through this website.
The website is intended solely for businesses, firms, companies, institutions, architects, designers, developers, contractors, and hospitality operators.

3. Electronic Records & E-Contracts

Pursuant to Section 10A of the Information Technology Act, 2000, these Terms, together with all quotations, purchase orders, confirmations, invoices, communications, and records generated or exchanged electronically, shall be deemed valid, enforceable, and legally binding.

Any acceptance, approval, or consent provided electronically, including through the website, email, messaging platforms, or digital documents, shall constitute a valid and binding agreement without the requirement of physical signatures.

  • Images, drawings, renders, and samples are indicative and non-binding.

6. Quotations, Orders & Acceptance

  • Quotations are valid only for the period specified therein.
  • Orders are deemed accepted only upon written confirmation and/or receipt of advance payment.
  • Once accepted, orders cannot be cancelled, modified, exchanged, or refunded

7. Pricing, Taxes & Payment Terms

  • Prices are quoted in Indian Rupees (INR) unless stated otherwise.
  • Goods and Services Tax (GST) and applicable statutory levies shall be charged as per prevailing law.
  • Payment terms are governed by the quotation or proforma invoice.
  • Title to goods shall pass only upon full and final realization of payment.

8. Manufacturing Lead Time

Manufacturing timelines are indicative estimates. The Company shall not be liable for delays caused by material shortages, logistics constraints, force majeure events, or circumstances beyond reasonable control.

9. Delivery, Risk & Inspection

  • Delivery timelines are indicative and non-binding.
  • Risk of loss or damage transfers to the buyer upon dispatch or delivery, whichever is earlier.
  • Transit damage must be reported in writing within 48 hours of receipt with supporting photographs.

10. Warranty & Exclusions (B2B)

  • Any warranty is limited, project-specific, and valid only if expressly provided in writing.
  • Normal wear and tear, misuse, improper handling, environmental exposure, and lack of maintenance are excluded.
  • All implied warranties, including merchantability and fitness for a particular purpose, are disclaimed to the fullest extent permitted by law.

11. Limitation of Liability

To the maximum extent permitted under Indian law, Scrolt Enterprise Private Limited shall not be liable for any indirect, incidental, consequential, or business losses. The Company’s total liability, if any, shall not exceed the invoice value of the goods supplied.

12. Intellectual Property Rights

All content on this website, including designs, drawings, images, text, logos, and trademarks, is the exclusive intellectual property of Scrolt Enterprise Private Limited and is protected under applicable Indian laws.

13. Confidentiality

All pricing, drawings, specifications, and commercial information shared by the Company are confidential and shall not be disclosed to any third party without prior written consent.

14. Force Majeure

The Company shall not be liable for failure or delay due to events beyond reasonable control, including acts of God, government actions, labor disputes, pandemics, or supply chain disruptions.

15. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Courts at New  Delhi, India, shall have exclusive jurisdiction.

The Company reserves the right to amend these Terms at any time. Continued use of the website shall constitute acceptance of such amendments.
